• "User" or "you" refers to the individual or business that registers and uses the platform.
• "Business Data" means any inventory, sales, customer, or operational data entered by you.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Service, you confirm that all registration information is accurate and truthful.

3. User Accounts

• You are responsible for safeguarding your login credentials.
• You agree not to share your account or impersonate another person or business.
• We are not liable for any unauthorized access due to your failure to secure your credentials.

4. Acceptable Use

You agree not to:

• Use the platform for unlawful purposes.
• Interfere with the platform’s security or functionality.
• Upload or store malicious code or content.
• Misrepresent your business or activities.

5. Intellectual Property

• All content, software, logos, and designs on Stocka are the property of Inventaire Technologies Limited or its licensors.
• You retain ownership of your business data, but grant us a license to use it as needed to provide the Service.

6. Payment and Subscription

• Access to the platform may be subject to subscription fees.
• Fees, billing cycles, and payment terms will be clearly disclosed at the time of registration or renewal.
• Failure to pay may result in suspension or termination of your account.

7. Data Protection and Privacy

We handle your personal and business data in accordance with our Privacy Policy, which is incorporated by reference into these Terms.

8. Termination

We may suspend or terminate your access if you violate these Terms, fail to pay fees, or misuse the platform. You may cancel your account at any time via the dashboard or by contacting support.

Upon termination:

• You lose access to the platform.
• We may retain certain data for legal or accounting purposes.
• You may request a copy of your business data before account closure.

9. Disclaimers

• The platform is provided “as is” without warranties of any kind.
• We do not guarantee 100% uptime or error-free operation.
• We are not responsible for business losses, loss of data, or indirect damages.

10. Limitation of Liability

To the maximum extent permitted by law, Inventaire Technologies Limited shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Service.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes shall be resolved:

1. By good-faith negotiation between the parties.
2. If unresolved, by arbitration in Nairobi, Kenya, in accordance with the Arbitration Act.

12. Modifications to Terms

We may revise these Terms at any time. Updated Terms will be posted on the platform and take effect upon publication. Continued use of the platform after updates indicates acceptance.
